Client Responsibilities

 

You agree to:

• Provide accurate, lawful, and complete information

• Ensure you have the legal right to use any data, content, or materials you provide

• Use our services in compliance with all applicable laws and regulations

• Not use our services for unlawful, harmful, or unethical purposes

You remain solely responsible for decisions made or actions taken based on AI outputs.

 

AI Limitations & Disclaimer

 

You acknowledge that:

• AI systems may generate errors, inaccuracies, or unintended outputs

• AI outputs should be reviewed by a qualified human before implementation

• We are not responsible for decisions, losses, or damages arising from reliance on AI-generated content

Our services are provided “as is” and “as available.”

 Fees & Payment

• Fees will be agreed in writing before work begins

• Invoices must be paid within [14] days unless otherwise stated

• Late payments may result in service suspension

• All fees are non-refundable unless explicitly stated otherwise

Intellectual Property

Unless otherwise agreed in writing:

• We retain ownership of all tools, frameworks, methodologies, and pre-existing IP

• Upon full payment, you receive a licence to use any agreed deliverables for your internal business purposes

• You may not resell, distribute, or sublicense our work without written permission

Confidentiality

Both parties agree to keep confidential any non-public, proprietary, or sensitive information disclosed during the course of the engagement, unless required by law.

Data Protection & GDPR

We process personal data in accordance with UK GDPR and the Data Protection Act 2018. Please refer to our Privacy Policy for full details on how we collect, use, and protect your data.

Limitation of Liability

To the maximum extent permitted by law:

• We shall not be liable for indirect, incidental, or consequential losses

• Our total liability shall not exceed the total fees paid to us in the preceding 12 months

• Nothing in these Terms limits liability for fraud, death, or personal injury caused by negligence

Termination

We may terminate or suspend services immediately if:

• You breach these Terms

• Payment is overdue

• Continued service would be unlawful or unethical

Termination does not affect any rights accrued prior to termination.

Third-Party Tools & Platforms

Our services may rely on third-party platforms (e.g. OpenAI, APIs, hosting providers). We are not responsible for outages, changes, or failures caused by third-party services.

Website Use

You agree not to:

• Attempt to gain unauthorised access to our systems

• Copy or scrape website content

• Use the site in a way that disrupts performance or security

Changes to These Terms

Governing Law
